The Dallas company, which owns the 7-Eleven convenience store chain, said that the meeting had been delayed ''to provide time to complete the sale of the $1.5 billion of subordinated debt necessary to finance the merger.

Sippican to Be Sold

LEAD: The Plessey Company said it planned to acquire Sippican Inc., a maker of oceanographic products based in Marion, Mass., for about $80 million.
